Mergers & Acquisitions


We have assisted a number of private and publicly-held companies with M&A transactions generally in the range of about $15,000,000 to $100,000,000. These transactions have included:

We understand that due diligence and preparation of M&A documents must be conducted in an organized and expedited fashion, often with limited staff and limited resources. We also have worked closely with Board members and investors who understand that a sale of the Company is often much preferred over another round of dilutive financing. Our Managing Directors have acted as advisors in over 70 prior M&A assignments in a variety of industries and with a variety of buyers and sellers.

In today’s investment banking world, M&A requires the ability to understand the technology and value proposition of both the buyer and the seller. In the industry sectors we serve (sustainability, climate change, energy technology, advanced materials, energy) this can be difficult unless the firm (like HamiltonClark) is highly-credentialed in the valuation of a technology that often has excellent future value and worth to the environment, but may have little or no current market penetration.

M&A has been a core activity of HamiltonClark for the past 30 years. We are connected to the “deal-team leaders” at major corporations and can get transactions in front of these decision makers.

Recent M&A transactions completed by HamiltonClark include:

  • Nanocomp Technologies, Inc., Nashua, NH – Sale of this venture-financed, private company that develops and sells advanced materials (Miralon), purchased by Huntsman Corporation (NYSE: HUN).
  • Rive Technology, Inc., Princeton, NJ – Sale of this venture-financed, private oil refining catalyst technology company, to W.R. Grace and Company (NYSE: GRA).
  • Itaconix, Inc. Stratham, NH – Cross-border, cash and stock merger of this family-office financed, private company based in the US, with publicly-traded Revolymer, plc (LSE: REVO), based in the UK.
  • Aerojet Rocketdyne Holdings, Inc. (NYSE: AJRD), Sacramento, CA – Sale of solar powertower business to SolarReserve, LLC, and sale of their coal gasification, dry solid pump, distributed hydrogen, enhanced oil recovery, carbon capture and storage businesses) to the Gas Technology Institute.
  • Infinia Corporation, Ogden UT – Auction sale of this free-piston Stirling engine company (now called Qnergy, Inc.), to Tene Capital under Section 363 of the Bankruptcy Code
